CONSTITUTION Rev “A” 02/08/04

 

 This day of April 1994, by and between the undersigned:

This agreement entered into

 

Witnesseth:

 

 Whereas, the undersigned desire to form an association and club for the promotion of model aircraft construction and operation, to assist in the development of skills and proficiency in building and flying model aircraft, to encourage the participation of beginners in model aviation, and to promote contests and fun-fly events through the operation of a flying field.

 

 Note; therefore, the undersigned do hereby agree to, and do hereby associate themselves to gather for the purpose aforesaid, and, in consideration of the mutual promises hereby made, do agree as follows;

 

 The name of the said association shall be:

 

MAD RIVER FLYING ASSOCIATION

ARTICLE 1

MEMBERSHIP

 

1) All persons, regardless of age, sex, race color, creed, national origin, or religion, who have an interest in model aviation, are eligible for membership.

 

2) AMA membership is required for all new members or renewal of membership. AMA license must be valid for the year for which membership in MRFA is being applied for, or renewed, and must be shown when paying dues.

 

3) There are three (3) types of membership:

 

A) Active – Those who have passed their 19  birthday before 1 July of the membership year.

B) Junior – Those who have not reached their 19  birthday by 1 July of the membership year.

C) Family – Any active member and any members of his } her immediate family who are also AMA members.

D ) Senior Membership _ this membership will be 50% of the normal active club dues (62 years of age)

 

4) Membership will be for the calendar year, 1 January through, 31 December, so as to coincide with AMA membership.

 

5) Membership shall be limited as stated in the by-laws.

 

6) New members are on probation for their first year of membership and are subject to the provisions stated in the by-laws.

1_) Non-compliance with any article of this constitution or by-laws can be reason for dismissal from the club. In the event a member is recommended to the officers for dismissal from the club, the officers will investigate the action which resulted in the dismissal recommendation. The officers will consider the findings of the investigation and decide for dismissal or retention. Any member recommended for dismissal will have the opportunity to appear before the board to defend himself } herself as part of the investigation.

 

ARTICLE II

 

DUES AND ASSESSMENTS

 

1) Dues will be paid at or before the February meeting. See by-laws, section 1, C

 

2) If circumstances warrant, assessments may be made to cover unusual costs not covered by dues. Total membership will receive notification of an assessment proposed prior to voting. Approval by two-thirds of the membership in attendance at a monthly business meeting is required for adoption of the assessment. Any approved assessment will be levied equally upon each member. For this purpose, a family membership is considered as one member.

 

ARTICLE III

 ORGANIZATION

 

1) Officers of MRFA will be: A) President

B) Vice President C) Secretary

D) Treasurer

E) Safety Officer

 

2) Duties and responsibilities of the club officers are as follows outlined in the by-laws,section II

 

3) Terms of all officers shall be as follows: A) One (1) calendar year.

B) All positions will be nominated and elected each year, in accordance with Article IV. 

C) There shall be no term restrictions.

 

4) Vacancies for unexpired terms will be filled by appointment by the board.

 

5) In the event of misconduct of an officer, or abuse of their position and privileges of his } her office, or shows himself } herself to be incompetent, any member of the club knowing of such behavior may petition the board for the officer’s removal. For such purposes the officer’s shall not include the person under investigation, although he } she will have an opportunity to plead his } her case. The officers shall

investigate the matter and make a recommendation to the club for retention or dismissal. A majority vote of the members present at the meeting, at which the recommendation is made, is required for dismissal.

 

ARTICLE IV

 

MEETINGS AND ELECTIONS

 

1) General membership meetings will be held monthly as provided in the by-laws, section III

 

2) Elections of officers will be conducted at the December meeting each year. Majority vote of those in attendance is required to elect.

 

3) Nominations for officers will be compiled during the month of October. Nominations may be made at the October meeting or by personal contact with the president. An officer of the club will obtain the nominee’s consent prior to the election in December.

 

4) Officer meetings will be held annually in January and whenever necessary, as called by any member holding an officer’s position.

 

5) Every member will be allowed one (1) vote on any matter brought to a vote of the membership. There will be NO proxy votes. In some cases a ballot may be provided to the members to vote on specific matters. In this case, members need not be present to vote.

 

 

 

ARTICLE V

 FINANCES

 

1) The club will be financed through membership dues, assessments, fund raising activities and donations.

 

3) The club is organized and operated for pleasure and recreation only. No part of the club’s funds and } or earnings will be used for any individual’s benefit.

 

4) In no case will expenses be incurred in excess of treasury funds. If such an expense is deemed necessary or desirable, an assessment proposal must be presented to the membership.

 

5) Upon dissolution of the club, all remaining assets after all financial obligations have been met, will be donated to the AMA (Academy of Model Aeronautics ).

 

 

 

 

 

 

 

 

ARTICLE VI

 AMENDMENTS

 

1) Any proposed amendments to the constitution or by-laws will be presented to the officers in writing at least one (1) month prior to voting. The presenter may attend an officer’s meeting to discuss the proposed amendment. The entire membership will be notified prior to voting. The officers will present the proposal to the membership with the recommendation for approval or disapproval. In the event the officers recommend disapproval, the presenter may plead his } her case to the membership present.
